This question requires candidates to explain three of the duties owed by directors to their companies. Although divided into three parts, candidates may provide a global answer.

8–10 marks 
Clear explanation of the three duties.

5–7 marks 
Fair knowledge of the duties, but perhaps lacking in detailed explanation.

2–4 marks 
Some knowledge of the duties, perhaps merely dealing with one or two elements of the answer.

0–1 mark 
Very little, if any, knowledge of the topic.
